1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Khula ERP ("Company", "we", "us", or "our") governing your access to and use of our enterprise resource planning software platform and related services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.

2. Description of Services

Khula ERP provides cloud-based enterprise resource planning software that includes:

• Financial management and accounting
• Customer relationship management (CRM)
• Human resources management
• Inventory and warehouse management
• Sales and purchasing management
• Reporting and business intelligence
• Integration capabilities with third-party services

3. Account Registration

To use our services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised access or security breaches

We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorised purposes.

4. Subscription and Payments

Subscription Plans

Access to our services requires a paid subscription. Subscription details, including features and pricing, are available on our pricing page.

Billing

You agree to pay all fees associated with your subscription plan. Fees are billed in advance on a monthly or annual basis depending on your plan.

Price Changes

We may modify our pricing with at least 30 days' notice. Continued use of our services after price changes constitutes acceptance of the new pricing.

Refunds

We offer a 14-day money-back guarantee for new subscribers. After this period, subscription fees are non-refundable except where required by law.

5. Acceptable Use

You agree not to:

• Use our services for any illegal purpose or in violation of any laws
• Attempt to gain unauthorised access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of our services
• Upload malicious code, viruses, or harmful content
• Use our services to send spam or unsolicited communications
• Reverse engineer, decompile, or disassemble our software
• Resell or redistribute our services without authorisation
• Use automated systems or bots to access our services without permission

6. Your Data

Ownership

You retain all ownership rights to the data you input into our services. We do not claim ownership of your business data.

Data Processing

By using our services, you grant us a limited licence to process your data solely for the purpose of providing and improving our services.

Data Export

You may export your data at any time using our export features. Upon termination, we will make your data available for export for 30 days.

Backups

We maintain regular backups of your data. However, you are responsible for maintaining your own backups of critical business data.

7. Intellectual Property

Our services, including all software, content, features, and functionality, are owned by Khula ERP and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to use our services in accordance with these Terms during your subscription period.

8. Service Availability

We strive to maintain 99.9% service availability. However, we do not guarantee uninterrupted access and may experience downtime for:

• Scheduled maintenance (with advance notice)
• Emergency maintenance or security updates
• Circumstances beyond our reasonable control

9. Limitation of Liability

To the maximum extent permitted by law:

• Our services are provided "as is" without warranties of any kind
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
• We are not liable for any loss of data, profits, or business opportunities

10. Indemnification

You agree to indemnify and hold harmless Khula ERP and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

11. Termination

Either party may terminate this agreement:

• You may cancel your subscription at any time through your account settings
• We may terminate or suspend your access immediately for violation of these Terms
• We may terminate with 30 days' notice for any reason

Upon termination, your right to use our services will cease immediately. Provisions that should survive termination will remain in effect.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through our services. Continued use of our services after changes take effect constitutes acceptance of the new Terms.
